王正超律师是香港注册外国律师、竞天公诚律师事务所的高级国际法律顾问，主要在上海和香港办公室工作。

王律师的主要执业领域为企业收购与兼并、私募股权与风险投资融资、外商直接投资、证券法以及国际商业交易。长期以来，王律师作为各类知名跨国公司以及国际和中国的顶尖私募股权基金及风险投资基金投资者的法律顾问，协助其在大中华地区完成投资、并购以及退出；所涉及的业务领域包括房地产与不良资产交易以及电信、传媒、科技、生物科技、生命科学、制药及消费品等行业的交易。

王律师在国际交易领域尤其是在代表财富五百强企业诸如通用汽车和陶氏化学等在中国进行直接投资的业务领域也具有非常丰富的经验。同时，王律师还在代表国际承销商和亚洲证券发行商发行跨国股票与代表中国企业进行境外投资的业务领域具有相当的经验。

在加入竞天公诚前，王律师曾作为高级国际法律顾问长期在上海市锦天城律师事务所工作。在此之前，王律师作为专职律师任职于一家著名的美国律师事务所和一家顶级的英国律师事务所。1999年至2000年间，他在香港担任凤凰卫视的法律顾问。1989年，王律师由福特基金会支持赴美进行法律深造。此前，王律师曾作为研究人员任职于一家上海知名的政策研究机构，专事研究美国经济与政治制度。与此同时，他也作为兼职律师在一家知名的中国律师事务所执业。

王律师连续多年持续被法律界知名刊物诸如《钱伯斯亚洲》、《国际金融法律评论》连续评选为中国顶尖的企业并购与私募股权律师。

王律师于1984年毕业于复旦大学，获法学学士学位；于1987年毕业于上海社会科学院法学研究所，获法学硕士学位；此后，王律师于1991年毕业于美国爱荷华大学法学院，获法学硕士学位；于1996年毕业于美国圣母大学法学院，获法律博士学位。

Victor Wang is a registered foreign lawyer in Hong Kong based in Shanghai and Hong Kong, and a Senior International Legal Counsel at Jingtian & Gongcheng focusing on mergers and acquisitions, private equity and venture capital financing, foreign direct investment, securities law, and international business transactions.

Mr. Wang regularly advises leading international and Chinese private equity/venture capital investors and multi-national corporations, on their investments, acquisitions and divestments in the Greater China region. These exercises range from real estate and distressed asset deals to transactions in the telecommunications, media, technology, biotech/life science, pharmaceutical and consumer product industries. Mr. Wang has had significant experience in cross-border transactions, particularly in representing many Fortune 500 companies with respect to their direct investments in China. He also has considerable experience representing international underwriters and Asian issuers in their global share offerings, as well as acting for Chinese companies in their outbound investments.

Prior to joining Jingtian & Gongcheng, Mr. Wang was a senior international legal counsel at AllBright, prior to that he worked in Hong Kong with a major New York law firm and a top UK “magic circle” firm, where he represented many multinational corporations and investment funds in establishing joint venture companies and making acquisitions in the PRC and other Asian countries. Prior to a career in the private law firm sector he was in-house at a major Asian TV and media group where he oversaw all legal affairs arising from the company’s Hong Kong IPO and global placement exercises.  

Mr. Wang is consistently recognized by legal industry publications such as Chambers Asia and IFLR as one of the leading M&A, corporate and private equity lawyers in China.

Mr. Wang received an LL.B. from Fudan University (1984), an LL.M from the Shanghai Institute of Law (1987), an LL.M. from the University of Iowa Law School (1991) and a J.D. from the University of Notre Dame Law School (1996).
